RollDeep Vendor Terms of Service

  1. Introduction and Agreement

These Vendor Terms of Service ("Agreement") contain legally binding obligations and constitute a binding contract between you ("you", "your", or "Vendor"), the individual or entity accessing and using the Platform for the purpose of partnering with Hosts to offer your post-booking services, and RollDeep Inc., including its subsidiaries and affiliates ("RollDeep", "we", "us", or "our"). Before using or accessing the Platform or Services, please carefully read this Agreement, the RollDeep policies, and any other documents incorporated herein by reference, as they contain crucial information regarding your legal rights, remedies, and obligations. This includes, but is not limited to, various limitations and exclusions on damages you may claim against us, as well as indemnification obligations you owe to us.

This Agreement governs your use of the RollDeep platform as a Vendor and sets forth the terms and conditions under which you may partner with Hosts and offer and provide travel-related services to Travelers via your access and use of our website (RollDeep.com), mobile applications, and related services and offerings, whether online, in-person, or via telephone, including but not limited to the RollDeep platform, vendor portal, and payment processing services (collectively, the “Platform” , “platform”, or “Services”).

This Agreement applies to any service provider that registers for an account on the Platform for the purposes of connecting with Hosts and Travelers to provide services on our site or through the Platform(“Vendor”). This Agreement applies to Vendors, while the relationship between Rolldeep and Travelers is instead governed by our separate Traveler Terms of Service. The relationship between Rolldeep and Hosts is governed by separate Host Terms of Service.

For purposes of these Terms, the below shall have the following meanings:

Traveler means any visitor and user of the Platform that books services or arranges trips and travel experiences as, or on behalf of, clients, or customers of Hosts and Vendors. For the purposes of these Vendor Terms, a Concierge or Secondary Authorized User is considered a Traveler even if a Concierge or Secondary Authorized User may not actually travel or receive the Vendor’s services directly.

Host” means  the owner or manager of a Property listed on RollDeep. Hosts are responsible for maintaining their properties and ensuring that the services provided meet the standards advertised on the Platform. They play a crucial role in the execution of services and may interact with Travelers as needed to facilitate bookings and enhance the travel experience.

Concierge” or “Secondary Authorized User” refers to anyone that a Traveler has authorized or given access to manage orders or any other aspect of a trip or travel experience on the Platform. In some instances, a Host will also act as Concierge or Secondary Authorized User.  

Property” refers to a vacation rental or any accommodation linked through the Platform. Properties are managed by Hosts and serve as the primary venue for the travel and experience services offered to Travelers.

“Booking” or “booking” or  “Order” refers to a purchase made through the RollDeep platform.

  1. Agreement Acceptance

By indicating your acceptance of this Agreement, accessing or using the Services, or creating a RollDeep Vendor account, you (or the organization you represent) acknowledge that you have read, understood, and agree to be bound by and comply with all the terms and conditions of this Agreement and our Privacy Policy, which forms an integral part of this Agreement. We recommend that you save or print a local copy of this Agreement for your records.

You represent and warrant that:

  1. You have the legal capacity and authority to enter into this Agreement;
  2. If you are using the Services on behalf of an organization, you are an authorized representative of that organization with the power and full legal authority to enter into this Agreement on its behalf;
  3. You or the organization you represent intend to be legally bound by this Agreement;
  4. You are at least 18 years of age or the legal age of majority in your jurisdiction;
  5. You have the right, authority, and capacity to offer the services you list on the RollDeep platform.
  1. Partnering with Hosts and Using the RollDeep Services

Partnering with Hosts:. As a post-booking services facilitator, RollDeep bridges the gap between Travelers, Hosts, and Vendors, enriching travel experiences with personalized services. Vendors are invited to create an account and introduce their offerings to Hosts on the Platform. Similarly, Hosts have the opportunity to explore and connect with Vendors, inviting them to associate their services with the Host's property or properties. This collaboration aims to provide Travelers with a seamless and enhanced stay made possible via partnerships between local businesses including hosts and vendors.

By using the RollDeep platform, Vendors agree to provide their services in accordance with this Agreement, their service listings, and any additional terms communicated to the Traveler at the time of booking. RollDeep reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

  1. Booking Confirmation: Upon a Traveler's booking, RollDeep will promptly notify the Vendor of the Order. It is up to the Vendor to promptly confirm to the Traveler they are willing and able to fulfill the service using the RollDeep Order interface.
  2. Service Fulfillment: Vendors are responsible for providing the booked services to Travelers as described in their listings. RollDeep acts as an intermediary and does not provide the actual services booked through our platform.
  3. Communication Facilitation: RollDeep provides a communication channel between Travelers and Vendors to discuss service details, answer questions, and address any issues that may arise before, during, or after the service is provided. All communication between the Vendor and Traveler should take place within this channel. Any communication outside of this channel will not be included in any dispute resolution by RollDeep that may arise.
  4. Payment Processing: RollDeep will collect payment from Travelers on behalf of Vendors. We will remit the agreed-upon amount to Vendors in accordance with the terms of this Agreement, less our service fee, after the service has been provided and subject to our verification process.
  5. Review and Rating System: After service completion, Travelers may leave reviews and ratings for Vendors. Similarly, Vendors may rate their experience with Travelers. This system helps maintain quality and trust within the RollDeep community.
  6. Dispute Resolution: In the event of a dispute between a Traveler and a Vendor, RollDeep may, at its sole discretion, provide a resolution process in accordance with our policies and this Agreement. RollDeep's role in any dispute resolution is strictly that of a facilitator. RollDeep is not obligated to mediate or arbitrate disputes and any participation by RollDeep in a dispute resolution process does not constitute an assumption of liability or responsibility for the dispute or its outcome.

For disputes involving chargebacks and refunds, RollDeep will direct Vendors and Travelers to address their dispute directly with the applicable credit card brands or payment processors. RollDeep shall not be responsible for the outcome of such disputes.

  1. Marketing and Promotion: RollDeep may promote Vendor services through various marketing channels to increase visibility and booking opportunities.
  1. Vendor Eligibility and Account
  1. To become a Vendor on RollDeep and access our Services, you must:
  1. Register for a Vendor account ("Account");
  2. Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher;
  3. Have the legal capacity to enter into binding contracts under applicable law;
  4. If acting on behalf of an organization, be an authorized representative with the authority to bind the organization to this Agreement;
  5. Provide a valid email address and contact information;
  6. Provide accurate and complete information during registration and in your service listings;
  7. Provide us with your bank account information for payment processing purposes;
  8. Submit any required licenses, permits, or certifications relevant to your offered services;
  9. Provide proof of insurance coverage as applicable to your services;
  10. Pass any background checks or verification processes required by RollDeep;
  11. Comply with all applicable laws and regulations in your jurisdiction;
  12. Agree to our Privacy Policy and any other policies referenced in this Agreement.
  1. Account Responsibilities:
  1. You are responsible for maintaining the confidentiality of your Account credentials;
  2. You are liable for all activities that occur under your Account;
  3. You agree to promptly notify RollDeep of any unauthorized use of your Account or any other breach of security;
  4. You must keep your Account information up-to-date, including contact details, service offerings, and availability.
  1. Account Verification and Maintenance:
  1. RollDeep reserves the right to verify your information at any time;
  2. We may suspend your Account or delay payments until your information has been verified;
  3. We may terminate your Account immediately if we cannot verify your information or if you provide false, inaccurate, or misleading information;
  4. You authorize RollDeep to conduct background checks, verify your identity, and obtain reports about you from third parties;
  5. You agree to provide additional information or documentation upon request to maintain your Account in good standing.
  1. Payment Authorization: By providing your information and accepting this Agreement, you authorize RollDeep to process payments to you in accordance with the terms of this Agreement.
  2. Account Suspension or Termination: RollDeep reserves the right to suspend or terminate your Account at any time, with or without notice, for reasons including but not limited to:
  1. Violation of this Agreement or any RollDeep policies;
  2. Fraudulent or illegal activity;
  3. Repeated poor performance or negative reviews;
  4. Failure to maintain required licenses, permits, or insurance;
  5. Inactivity for an extended period;
  6. Any other reason that RollDeep determines, in its sole discretion, to be in the best interest of the platform and its users.
  1. Service Listings and Pricing
  1. Service Listings: You are solely responsible for creating, managing, and updating your service listings on the RollDeep platform. Your listings must include accurate and detailed descriptions of the services offered, including but not limited to: Nature and scope of the service, Duration,  Location, Any physical requirements or restrictions, What is included and what is not, Cancellation policies, and any other market standard descriptors. You must keep your availability calendar up-to-date to prevent double-bookings or unavailable dates being offered. You also agree to provide services exactly as described in your listings unless mutually agreed upon changes are made with the Traveler and communicated through the RollDeep platform.
  2. Pricing: You have the freedom to set your own prices for your services, subject to any minimum or maximum limits set by RollDeep. All prices must be listed in the local currency of your operating location, with RollDeep handling any necessary currency conversions for Travelers. You may not charge Travelers any additional fees not disclosed in your listing. You may offer discounts or promotional prices, but these must be clearly communicated in your listing.
  3. Dynamic Pricing: RollDeep may offer tools for dynamic pricing based on demand, seasonality, or other factors. If you opt to use these tools, you agree to the price adjustments you generate through them. You may set different prices for peak seasons, holidays, or special events, but these variations must be clearly indicated in your listing.
  4. Service Bundles and Add-ons: You may offer service bundles or add-ons to your primary services. All components of bundles and add-ons must be clearly described and priced in your listing.
  5. Accuracy and Honesty: You agree to provide only truthful and accurate information in your listings. Misrepresentation of your services, including exaggerated claims or false advertising, is strictly prohibited and may result in the suspension or termination of your account.
  6. Cancellation Policies: You must clearly communicate your cancellation policy in your listing. Your cancellation policy should fall within one of the following categories:
            Flexible: Full refund if cancelled at least 24 hours before the start time.
            Moderate: Full refund if cancelled at least 3 days before the start time.
            Strict: 50% refund if cancelled at least 7 days before the start time.
            Draconian: No refunds for any reason at any time.
  7. Compliance: Your listings and services must comply with all applicable local, state, and federal laws and regulations. You are responsible for obtaining and maintaining any required permits, licenses, or certifications for your services. You are also required to verify and monitor age requirements to provide your services and offerings to Travelers. Your listings must adhere to RollDeep's content policies, community guidelines, and standards of quality.
  8. RollDeep's Rights: RollDeep reserves the right to review, remove, or modify listings that violate our policies, applicable laws, or community standards.  We may optimize your listing titles, descriptions, or images to improve search results or user experience, but we will not materially change the nature of your offered services without your consent. RollDeep may feature or promote certain listings at our discretion, but we do not guarantee any specific placement or visibility for your listings.
  9. Listing Modifications: You may modify your listings at any time, but changes will not affect existing confirmed bookings unless agreed upon with the Traveler and communicated through RollDeep. RollDeep reserves the right to retain previous versions of your listings for record-keeping purposes.
  1. Host Permission and Property Access
  1. Vendor acknowledges and agrees that access to any Property listed on the RollDeep platform is subject to explicit permission from the Host. Such permission:
  1. Must be obtained before entering any Property for the purpose of providing services.
  2. Is specific to each individual Property and does not constitute a blanket authorization for all Properties on the platform.
  3. May be revoked by the Host at any time, for any reason, with or without notice.
  4. Does not create any tenancy or property rights for the Vendor.
  1. Vendor agrees to immediately cease attempts to access a Property if permission is revoked or denied by the Host. RollDeep reserves the right to suspend or terminate Vendor's account for unauthorized Property access or failure to comply with a Host's revocation of permission.
  2. Vendor shall respect the Property and adhere to any specific rules or guidelines set by the Host. Any damage to the Property or violation of Host rules may result in the revocation of access permissions and potential liability for the Vendor.
  3. RollDeep is not responsible for granting, denying, or mediating Property access permissions between Hosts and Vendors, but may assist in communication between parties as needed. Any consent granted via a RollDeep channel may be revoked via a non-RollDeep channel at any time. Revocation via communication outside RollDeep channels supersedes any indication that access is granted via RollDeep channels that may or may not have been updated to reflect the intent to revoke.
  4. Vendor acknowledges and agrees that RollDeep does not own, control, manage, or operate any Properties listed on the platform. Vendor agrees to waive any and all claims against RollDeep related to:
  1. Vendor's access or attempted access to any Property;
  2. Any dispute between Vendor and a Host regarding Property access;
  3. Any inaccuracies in Property information provided on the platform;
  4. Any injuries, damages, or losses incurred while accessing or attempting to access a Property.
  1. Booking and Cancellation
  1. Booking Process: When a Traveler requests to book your service, you will receive a notification through the RollDeep platform. You must respond to booking requests promptly, and usually within 24 hours, either accepting or declining the request. Once you accept a booking, it becomes a binding agreement between you and the Traveler. You agree to honor all confirmed bookings and provide the service as described in your listing.
  2. Traveler Communication: All pre-booking communication with potential Travelers must occur through the RollDeep platform to ensure transparency and safety. You agree to respond to Traveler inquiries in a timely and professional manner.
  3. Modification of Bookings: Any changes to confirmed bookings (e.g., date, time, number of participants) must be agreed upon by both you and the Traveler and processed through the RollDeep platform. Modifications may be subject to additional fees or price adjustments as per your stated policies.
  4. Service Fulfillment: You must provide the booked service at the agreed-upon time, location, and as described in your listing. Any changes to the service must be mutually agreed upon with the Traveler and communicated through the RollDeep platform. Failure to provide the service as booked may result in penalties, including refunds to the Traveler and potential suspension of your account.
  5. Vendor Cancellations: If you need to cancel a confirmed booking, you must do so through the RollDeep platform as soon as possible. Repeated cancellations may result in penalties, including account suspension or termination. In case of cancellation, you agree to notify the Traveler immediately through the RollDeep platform and assist in finding a suitable alternative, if possible.
  6. Traveler Cancellations: If a Traveler cancels a booking, the cancellation will be processed according to your stated policy. RollDeep will handle the refund process, if applicable, based on the cancellation policy.
  7. Extenuating Circumstances: RollDeep maintains an Extenuating Circumstances Policy that may supersede your cancellation policy in certain situations (e.g., natural disasters, severe weather, government travel restrictions). In such cases, RollDeep will work with both you and the Traveler to find a fair resolution.
  8. No-shows: If a Traveler fails to show up for a booked service without cancelling, you may mark them as a no-show through the RollDeep platform. No-show cases will be handled according to your cancellation policy, but RollDeep reserves the right to mediate disputes.
  1. Payment and Fees
  1. Payment Collection: RollDeep will collect payment from Travelers on your behalf for all bookings made through our platform. Travelers will be charged the full amount at the time of booking, as specified in your listing .
  2. Service Fees: RollDeep charges a service fee for the use of our platform and services. This fee is added to the price that you set when you create your service, so that you will receive 100% of your price for the fulfillment of your service. The current service fee is 20% of the price. RollDeep is dedicated to share profits with all partners who participate in creating healthy local tourist economies. RollDeep may opt to split its service fee between the platform, the Host, and any other entity, including charitable donations, concierge fees, and local governments or other groups.
  3. Payment Processing: Payments will be made to your designated bank account within 14 business days after the service has been provided, subject to our verification process. You are responsible for providing and maintaining accurate bank account information for receiving payments.
  4. Verification Process: Before releasing payment, RollDeep may verify that the service was provided as booked. This may include confirmation from the Traveler, GPS check-ins, or other verification methods as determined by RollDeep. You agree to cooperate with any reasonable verification requests.
  5. Currency and Exchange Rates: All payments will be processed in the currency specified in your listing. If currency conversion is necessary, the exchange rate will be determined at the time of the booking.
  6. Taxes: You are responsible for determining and including any applicable taxes in your pricing. RollDeep is not responsible for calculating, collecting, or remitting any taxes on your behalf, unless required by local laws. You agree to comply with all applicable tax laws and regulations in your jurisdiction.
  7. Refunds and Cancellations:  In the event of a cancellation or refund, the service fee may be non-refundable or only partially refundable, depending on the circumstances and our policies. Refunds will be processed according to the cancellation policy specified in your listing and the “Booking and Cancellation” section of this Agreement.
  8. Disputed Charges and Chargebacks:  In the event of a disputed charge or chargeback initiated by a Traveler, you agree to cooperate with RollDeep and the credit card brands in resolving the issue. RollDeep reserves the right to withhold payment or deduct amounts from future payments to cover disputed charges or chargebacks.
  9. Payment Holds: RollDeep may place a hold on payments in cases of suspected fraud, policy violations, or disputes. We will communicate the reason for any hold and work with you to resolve the issue promptly.
  10. Incentives and Promotions: RollDeep may offer incentives or promotional discounts to Travelers. These may affect the total booking price but will not reduce your payout unless agreed upon in advance. You may participate in RollDeep-sponsored promotions at your discretion, which may involve adjusted fee structures.
  11. Additional Services: Any additional services or products provided to the Traveler that were not included in the original booking must be processed through the RollDeep platform. Accepting direct payments from Travelers for additional services without RollDeep’s prior written consent is prohibited and may result in account suspension.
  12. Payment Statements: RollDeep will provide detailed payment statements for each transaction, accessible through your Vendor dashboard. These statements will itemize the total booking amount, service fees, and any other applicable deductions or additions.
  13. Payment Errors:  If you believe an error has been made in payment calculation or processing, you must notify RollDeep within 30 days of the payment date. RollDeep will investigate any reported errors and make necessary corrections in a timely manner.
  1. Transaction Management

To manage risk and ensure the integrity of the RollDeep marketplace, the following provisions apply to transactions:

  1. Withholding and Set-off: RollDeep reserves the right to withhold payments or set off amounts owed to Vendor against any amounts Vendor owes to RollDeep or to Travelers, including but not limited to refunds, chargebacks, or damages.
  2. High-Value Transactions: For any transaction exceeding $1,000 USD , or any other amount determined by RollDeep in its sole discretion, RollDeep reserves the right to: a) Require additional verification or "Know Your Customer" (KYC) information from Vendor; b) Enter into a separate guarantee agreement with Vendor; or c) Implement additional payment security measures, reserves, or payout hold arrangements. RollDeep may withhold payment for such transactions until these additional requirements are satisfied.
  3. Transaction Limitations: RollDeep reserves the right to decline or limit certain transactions that, in RollDeep's sole discretion: a) Fall outside the scope of services for which the RollDeep marketplace is designed; b) Pose unacceptable levels of risk or liability; c) Require resources or capabilities beyond those typically available through the platform; d) Have the potential to trigger legal responsibilities or other penalties or challenges to any party including the Traveler, Host, Vendor, or RollDeep. In such cases, RollDeep may, at its discretion, suggest alternative arrangements, including recommending that the transaction be conducted off-platform.
  1. Vendor Obligations and Responsibilities
  1. Service Quality: Vendor agrees to provide services professionally and in accordance with industry standards. This includes maintaining high standards of quality, safety, and customer satisfaction. Vendor will ensure services align with listing descriptions and any agreements made within the RollDeep Order communication channel and commits to being punctual and prepared for all scheduled services.
  2. Legal Compliance: Vendor shall maintain all necessary licenses, permits, certifications, and insurance required for their services. Vendor agrees to comply with all applicable laws and regulations, including relevant health and safety standards.
  3. Communication: Vendor commits to responding promptly to Traveler inquiries and RollDeep communications. All communication with Travelers will be professional, and booking-related communications will be conducted through the RollDeep platform. Vendor will provide clear instructions to Travelers before service dates.
  4. Non-Discrimination: Vendor shall not discriminate against any Traveler based on protected characteristics and will treat all Travelers with respect and dignity, fostering an inclusive environment.
  5. Accuracy and Safety: Vendor agrees to provide accurate and truthful information in their profile, listings, and communications. This includes disclosing any potential health or safety risks and being transparent about any limitations or restrictions of their services.
  6. Environmental and Cultural Responsibility: Vendor shall conduct services in an environmentally responsible manner, respecting and promoting local cultures, customs, and traditions. Vendor will encourage responsible and respectful behavior from Travelers towards local communities.
  7. Privacy and Platform Integrity: Vendor commits to respecting Travelers' privacy and adhering to RollDeep's Privacy Policy and data protection requirements. Vendor will not engage in activities that could undermine the integrity of the RollDeep platform and agrees to report any suspicious activities or policy violations to RollDeep immediately.
  8. Service Provision and Subcontracting: Vendor shall personally provide the services as listed unless explicitly stated otherwise. If using assistants or subcontractors, Vendor ensures their compliance with RollDeep policies and maintain the same standards of service. You remain fully responsible for all services provided, regardless of who performs them.
  9. Branding and Representation: Vendor agrees to continuously improve their services, address any issues or complaints promptly and professionally, and cooperate fully with RollDeep in resolving any disputes. Vendor shall accurately represent their relationship with RollDeep to Travelers and maintain their own distinct brand identity while operating within RollDeep's guidelines.
  1. Ratings and Reviews
  1. Review System:  RollDeep may maintain a multiway review system where Travelers, Hosts,  and Vendors can rate and review each other after a service is completed. You acknowledge that this review system is a crucial part of the RollDeep platform, fostering trust and transparency within our community.
  2. Traveler Reviews: Travelers may leave ratings and written reviews of your services after service completion. These reviews may cover aspects such as service quality, communication, accuracy of listing, and overall experience. You agree that these ratings and reviews will be publicly visible on your profile and service listings.
  3. Vendor Reviews: You may leave ratings and reviews for Travelers after service completion. Your reviews should focus on the Traveler's conduct, communication, and adherence to your policies. Vendor reviews help maintain the quality of the RollDeep community and inform other Vendors.
  4. Review Guidelines: All reviews must be honest, factual, and based on personal experience with the service or Traveler. Reviews should not contain discriminatory, offensive, or inappropriate content. Personal information, promotional content, or irrelevant details should not be included in reviews.
  5. Response to Reviews: Responses to reviews should be professional, constructive, and address any concerns raised in the review. RollDeep encourages using this feature to provide context or explain steps taken to address any issues.
  6. Review Removal: RollDeep reserves the right to remove reviews that: - Violate our content policies - Contain fraudulent information - Are proven to be retaliatory - Disclose personal information - Are otherwise deemed inappropriate or harmful to the RollDeep community. Reviews will not be removed simply due to negative content if they comply with our policies.
  7. Review Transparency: RollDeep may display aggregate data about your ratings and reviews on your profile. This may include average ratings, number of reviews, and other relevant statistics.
  8. Review Ownership: All reviews submitted on the RollDeep platform become the property of RollDeep. RollDeep may use these reviews for promotional, quality improvement, or other purposes.
  9. Changes to Review System: RollDeep reserves the right to modify the review system, including rating criteria and display methods.
  1. Intellectual Property
  1. License Grant: You grant RollDeep a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display any content you provide to the platform. This includes your profile information, service descriptions, photographs, videos, reviews, and any other materials you upload or provide to RollDeep.
  2. Representations and Warranties: You represent and warrant that you own or have the necessary rights to grant the above license and that your content does not infringe upon any third-party intellectual property rights or violate any applicable laws.
  3. RollDeep's Intellectual Property: The RollDeep platform and its content are protected by copyright, trademark, and other laws. You agree not to reproduce, modify, distribute, or create derivative works based on RollDeep's intellectual property without express written permission.
  4. Trademark Usage: You may only  use RollDeep's name, logo, or other trademarks in adherence to our usage and brand guidelines. You may not disparage or alter any of our brand assets. We may revoke this permission at any time and for any reason.
  5. User-Generated Content: You grant us full ownership of the content you create and provide to the RollDeep platform. By submitting content, you grant other users permission to view and interact with the content you submit on our platform as intended by the platform's functionality. You also retain a fully paid and irrevocable license to use and display the content you create on our platform.
  6. Content Removal: RollDeep reserves the right to remove any content that violates these terms, infringes on intellectual property rights, or is otherwise deemed inappropriate.
  7. Feedback: Any feedback you provide to RollDeep regarding the platform is non-confidential and may be used by RollDeep without compensation.
  8. Third-Party Intellectual Property: You are responsible for obtaining necessary licenses for any third-party intellectual property used in your services.
  9. Confidentiality: We both agree to maintain the confidentiality of any non-public information about each other’s businesses that we may access through the platform.
  10. DMCA Compliance: RollDeep respects intellectual property rights and will respond to notices of alleged copyright infringement in accordance with applicable law.
  1. Limitation of Liability
  1. General Limitation: To the maximum extent permitted by applicable law, neither party, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages. This includes, but is not limited to: a) Loss of profits, revenue, or anticipated savings b) Loss of data or content c) Loss of goodwill or reputation d) Business interruption e) Personal injury or property damage f) Any other intangible losses
  2. Scope of Limitation: This limitation of liability applies to any claims arising out of or relating to: a) Your use or inability to use the RollDeep platform b) Any conduct, content, or services of any Traveler, Vendor, or third party on the platform c) Any unauthorized access, use, or alteration of your transmissions or content d) Any bugs, viruses, or other harmful code that may be transmitted through the platform e) Any errors, inaccuracies, or omissions in any content or information on the platform f) Any interruption or cessation of transmission to or from the platform

Liability Cap: In no event shall the total liability of the RollDeep,  its officers, directors, employees, agents, affiliates, and licensors for all claims related to the Services exceed the greater of: a) The amount paid by you to RollDeep in the 12 months prior to the action giving rise to liability, or b) $100 USD
  4. Exceptions: Nothing in this Agreement shall limit or exclude our liability for: a) Death or personal injury resulting from our negligence b) Fraud or fraudulent misrepresentation c) Any other liability that cannot be excluded or limited by applicable law
  5. Basis of the Bargain: You acknowledge and agree that RollDeep has set its prices and entered into this Agreement in reliance upon the limitations of liability set forth herein, which allocate risk between RollDeep and you and form an essential basis of the bargain between us.
  6. Third-Party Services: RollDeep may provide links to third-party websites or services. You acknowledge that RollDeep has no control over such services and shall not be responsible or liable for any content, advertising, products, or other materials available from such third parties.
  7. Indemnification Relation: The limitations of liability in this section shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence) or otherwise, and whether or not RollDeep has been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
  1. Indemnification
  1. Scope of Indemnification: You agree to defend, indemnify, and hold harmless RollDeep, its affiliates, subsidiaries, directors, officers, employees, agents, partners, and licensors (collectively, the "RollDeep Parties") from and against any and all claims, demands, actions, liabilities, costs, or damages, including reasonable attorneys' fees and expenses, arising out of or in any way connected with:
  1. Your access to or use of the RollDeep platform and Services
  2. Your content or services provided through the RollDeep platform
  3. Your interaction with any Traveler, Host, other Vendor, or third party through the platform
  4. Your access to or use of a Property
  5. Your violation of any term of this Agreement
  6. Any disputes or issues between you and any Traveler or third party
  1. Cooperation: You agree to fully cooperate in the defense of any claim, at your expense. RollDeep reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.
  2. Settlement: You agree not to settle any matter without the prior written consent of RollDeep. RollDeep will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
  3.  Injunctive Relief: You acknowledge that a breach of this Agreement may result in immediate and irreparable harm to RollDeep, for which monetary damages may not be adequate compensation. Accordingly, in the event of such a breach, you agree that RollDeep shall be entitled to seek injunctive relief in addition to any other available remedies.
  4. Insurance: You agree to maintain sufficient insurance coverage to meet your indemnification obligations under this Agreement. Upon request, you will provide RollDeep with proof of such insurance.
  5. Notification: You agree to promptly notify RollDeep of any third-party claim subject to indemnification hereunder.
  6. No Admission: The indemnification obligations under this Agreement shall not be construed as an admission of fault or liability by either party.
  1. Modifications to the Agreement
  1. Right to Modify: RollDeep reserves the right to modify, amend, or update this Agreement at any time, at our sole discretion. We will provide notice of significant changes to this Agreement through one or more of the following methods: a) Posting a notice on the RollDeep platform b) Sending an email to the address associated with your account c) Providing a notification within your Vendor dashboard. You are responsible for reviewing the modified Agreement during the notice period. If you do not agree with the changes, you must discontinue your use of the RollDeep platform before the new terms become effective.
  2.  Effective Date: Any modifications to this Agreement will become effective upon the date specified in our notice, which will be at least 30 days following the date of notification, unless immediate implementation is necessary to comply with legal requirements or to address an emergency situation.
  3. Acceptance: Your continued use of the RollDeep platform after the effective date of any modifications constitutes your acceptance of the updated Agreement.
  1. Termination
  1. Termination by Vendor: You may terminate this Agreement at any time by closing your RollDeep account through the platform's account settings. To close your account, you must fulfill all pending obligations, including completing any booked services and resolving any outstanding payments. You agree to provide at least 30 days' notice before account closure to allow for the orderly completion of any upcoming bookings.
  2. Termination by RollDeep: RollDeep may terminate or suspend your access to the platform, in whole or in part, at any time: a) For any violation of this Agreement, our policies, or applicable laws b) If we believe your actions may cause legal liability for you, other Vendors, Travelers, or RollDeep c) If we suspect fraudulent, abusive, or illegal activity d) If we believe your account has been compromised e) Due to unexpected technical or security issues f) Upon reasonable notice, for any other reason at RollDeep's sole discretion.
  3. Suspension: RollDeep may suspend your account temporarily to investigate potential violations or address quality concerns. During suspension, you will not be able to accept new bookings, but you must fulfill any existing obligations. RollDeep will communicate the reason for suspension and steps for reinstatement, if applicable.
  4. Effect of Termination: Upon termination of your account, whether by you or RollDeep: a) You will lose access to your account and all related data b) You must complete any pending bookings unless otherwise directed by RollDeep c) You will receive final payment for completed services, less any applicable fees or deductions d) Your listings will be removed from the RollDeep platform e) You must cease using any RollDeep intellectual property
  5. Survival: The following sections will survive termination of this Agreement: Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature should survive termination.
  6. Data Retention: RollDeep may retain your information for a commercially reasonable time for backup, archival, legal, or audit purposes.
  7. Outstanding Fees: Termination does not relieve you of the obligation to pay any fees or other amounts owed to RollDeep or to Travelers up to the date of termination.
  8. Traveler Notifications: RollDeep reserves the right to notify Travelers of any termination or suspension that might affect their existing bookings.
  9. Force Majeure: Neither party shall be liable for any delay or failure to perform resulting from circumstances beyond their reasonable control, but this shall not affect the right to terminate.
  1. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware and applicable United States federal laws, without regard to any conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in either (a) the United States District Court for the District of New Jersey, or (b) the state courts of New Jersey located in Mercer County, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action, suit, or proceeding. The parties irrevocably and unconditionally waive any objection to the laying of venue of any suit, action, or proceeding in such courts and irrevocably waive and agree not to plead or claim in any such court that any such suit, action, or proceeding brought in any such court has been brought in an inconvenient forum.
